Terms of Service

These Terms of Service govern your access to and use of the LogbookOS platform and all services provided through it. By creating an account or using any LogbookOS service, you agree to be bound by these Terms.

1. Definitions

In these Terms, the following capitalised words have specific meanings:

“LogbookOS”, “we”, “us”, or “our” refers to Em.Skoulikaris LLC, a limited liability company registered in Wyoming, USA, with its registered address at 75 E 3rd St, Sheridan, WY 82801, USA, operating under the brand name LogbookOS.
“Platform” means the LogbookOS software-as-a-service platform, including the central domain (logbookos.com) and all Cluster subdomains operated by Em.Skoulikaris LLC.
“Cluster” means an independent service environment accessible via a subdomain of logbookos.com or logbookos.gr (for example, work.logbookos.com, edu.logbookos.com, or diy.logbookos.gr). Each Cluster operates independently with its own database, authentication system, usage ledger, and configuration.
“Service Appendix” means a Cluster-specific addendum to these Terms, published at logbookos.com/terms/[cluster-name], that sets out rules particular to that Cluster.
“Usage Pack” means a prepaid package of metered service access that a Customer purchases, comprising a defined quantity of Project Units.
“Project Units” means the platform-specific units of metered service access that a Customer receives upon purchasing a Usage Pack. Project Units are the single unit of measurement across the Platform. They hold no monetary value outside the Platform.
“Platform Access Time” means one of the two consumption pools into which a Customer may allocate Project Units. Platform Access Time is consumed based on active session usage and the consumption rate tier of the feature being used.
“AI Compute” means one of the two consumption pools into which a Customer may allocate Project Units. AI Compute is consumed when a Customer uses AI-powered features, at a fixed per-operation cost.
“Allocation” means the act of distributing Project Units from a Customer’s Usage Account into the Platform Access Time pool and/or the AI Compute pool within the same Cluster.
“Usage Account” means the system record within a specific Cluster that tracks a Customer’s Project Units, pool balances, and consumption history.
“Customer”, “you”, or “your” refers to any individual or legal entity that registers for an account on the Platform or uses any Platform service.
“Workspace” means the organisational unit within a Cluster where a Customer and their team members operate.
“Content” means any data, text, files, documents, or other materials that a Customer uploads, creates, or stores on the Platform.
“Merchant of Record” or “MoR” means a third-party payment service provider that acts as the seller of record for consumer transactions, handling payment processing, VAT calculation, and tax remittance on behalf of Em.Skoulikaris LLC.

2. Nature of Service

2.1 LogbookOS provides a software-as-a-service (SaaS) platform for AI-powered productivity, education, and project management tools. When you purchase a Usage Pack, you receive a non-transferable right to use Platform services, measured in Project Units.

2.2 Project Units represent prepaid metered access to software functionality and hold no monetary value outside the Platform. Units cannot be:

  • Exchanged or converted to cash or any form of currency
  • Transferred to other accounts, users, or third parties (except through team allocation features described in Section 7)
  • Redeemed outside the Platform
  • Used across different Clusters
Important: LogbookOS does not operate as a financial institution, payment service, stored-value facility, or money transmitter. The purchase of a Usage Pack is a prepayment for software services, not a deposit of funds.

2.3 The Platform serves both business (B2B) and consumer (B2C) use cases depending on the Cluster. The Work Cluster is designed primarily for business use. The EDU and DIY Clusters serve both individual consumers and professionals. Where a specific Cluster permits consumer use, the applicable Merchant of Record handles VAT calculation and collection in accordance with applicable consumer protection and tax laws. Cluster-specific rules are set out in the relevant Service Appendix.

3. Multi-Cluster Architecture

3.1 Em.Skoulikaris LLC operates multiple independent service environments (“Clusters”) accessible via subdomains. Each Cluster maintains independent user accounts, Project Unit balances, and operational data.

3.2 Project Units purchased for one Cluster cannot be used in, transferred to, or applied to any other Cluster. Each Cluster requires separate registration and separate Usage Pack purchases.

3.3 These Terms apply to all Clusters. Where a Cluster has specific rules that differ from or supplement these Terms, they are set out in a Service Appendix. In the event of a conflict between these Terms and a Service Appendix, the Service Appendix prevails for that specific Cluster only.

4. Regional Deployment

4.1 LogbookOS operates regional server deployments. Each region uses a separate top-level domain (logbookos.gr for Greece, logbookos.com for International). Clusters within the same region share a common user directory, enabling inter-user connectivity within that region.

4.2 Clusters across different regions are fully independent — accounts, Project Units, and Content do not transfer between regions.

4.3 The same Terms, Privacy Policy, and legal framework apply to all regions. All regions are operated by Em.Skoulikaris LLC.

4.4 All payments, regardless of region, are processed by Em.Skoulikaris LLC (for B2B transactions via Stripe) or by the applicable Merchant of Record (for B2C transactions via Lemon Squeezy), and will appear on your statement as “LOGBOOKOS” or the name of the Merchant of Record.

5. Account Registration & Eligibility

5.1 Eligibility. To use the Platform, you must be at least 18 years old and have the legal authority to enter into these Terms. If you are registering on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. On the EDU Cluster, dependent members (such as students under 18) may be added by an authorised adult (educator or parent/guardian) without requiring independent account registration, as described in the EDU Service Appendix.

5.2 Account creation. You must register for an account within the specific Cluster you wish to use. Each Cluster requires a separate account. You agree to provide accurate, current, and complete information during registration.

5.3 Account security. You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@logbookos.com if you become aware of any unauthorised use of your account.

5.4 One account per person per Cluster. Each individual may maintain only one account per Cluster. Creating multiple accounts to circumvent usage limits or any other restriction is prohibited.

5.5 Workspace administration. If you create a Workspace and invite team members, you are the Workspace Owner. You are responsible for managing team access, setting usage caps for team members, and ensuring that all team members comply with these Terms.

6. Usage Packs & Purchasing

6.1 What you purchase. When you buy a Usage Pack, you purchase a defined quantity of Project Units for a specific Cluster. The exact number of Project Units included is displayed on the checkout page before you confirm your purchase. Every Usage Pack gives you full access to all tools, features, and project templates within the relevant Cluster. The only difference between packs is the number of Project Units included.

6.2 Activation. Upon successful payment confirmation, your Project Units are added to your Usage Account automatically and become immediately available for allocation within the relevant Cluster.

6.3 Pack types. We offer one-time Usage Packs at various tiers. The specific packs, their included Project Units, and their pricing are listed on the relevant Cluster’s pricing page and may be updated from time to time. Changes to pricing do not affect Usage Packs already purchased.

6.4 No subscription obligation. Usage Packs are one-time purchases. There is no recurring subscription, no automatic renewal, and no ongoing financial commitment. You purchase additional Usage Packs only when you choose to.

6.5 Pack stacking. You may purchase additional Usage Packs at any time. New Project Units are added to your existing Usage Account balance. You do not need to exhaust your current balance before purchasing a new pack. Larger packs may include bonus Project Units as described on the pricing page.

6.6 Account unit cap. Each Cluster may enforce a maximum balance of Project Units that can be held in a single Usage Account at any time. The current cap for each Cluster is published on the relevant Cluster’s pricing page. If purchasing a new Usage Pack would cause your balance to exceed the cap, the purchase will be blocked until your balance falls below the threshold.

7. Project Units & Allocation

7.1 Single unit of measurement. Project Units are the single unit of measurement across the Platform. All Usage Packs are denominated in Project Units. All consumption is tracked in Project Units.

7.2 Allocation model. Before using Platform services, you distribute your Project Units into two consumption pools:

  • Platform Access Time — consumed based on active session duration and the consumption rate tier of the feature being used (see Section 8).
  • AI Compute — consumed when you use AI-powered features, at a fixed per-operation cost visible before each operation.

You choose the ratio of allocation between these two pools. Allocation is performed within your Usage Account on the relevant Cluster.

7.3 Re-allocation. You may adjust the allocation ratio at any time from your dashboard. Units that have been allocated to one pool but not yet consumed may be moved to the other pool. Once consumed, units cannot be recovered.

7.4 Consumption is irreversible. Once Project Units are consumed (whether from the Platform Access Time pool or the AI Compute pool), they cannot be recovered, reversed, or restored. Each unit of usage is final.

7.5 Expiration. Unused Project Units within a Usage Pack expire 12 months after the date of purchase. Each Usage Pack maintains its own expiration date (rolling expiration). When multiple packs are active, the system consumes units from the oldest pack first (first-in, first-out). We will send a notification to your registered email address 30 days before expiration. Expired units are forfeited and cannot be restored or refunded.

7.6 Usage visibility. Your current Project Unit balance, pool allocations, and detailed consumption history are available in your Usage Account within each Cluster. We provide a usage ledger showing what was consumed, when, by whom (in team Workspaces), and on which project.

7.7 Team allocation. On the Work and EDU Clusters, the account owner may set usage caps for team members or students within the same Workspace. Team members consume units from the owner’s Usage Account, up to their assigned cap. The owner sees all usage across the team. Team members see only their own usage. This internal allocation is an organisational feature and does not constitute a transfer of value. Allocated units remain within the same Usage Account and cannot leave the Platform.

7.8 Metering mechanism. Project Units are a metering mechanism for service delivery. They do not constitute electronic money, stored value, prepaid instruments, gift cards, or any form of monetary instrument. The purchase of a Usage Pack is a prepayment for software services, not a deposit of funds.

8. Consumption & Metering

8.1 Variable consumption rates. The Platform uses variable consumption rates based on the value each feature provides. Not all features cost the same. The rate tiers are:

  • Free — navigation, dashboard browsing, and basic project overview consume no units.
  • Low rate — basic tools such as task manager, calendar, and budget tracker.
  • Standard rate — standard libraries and content.
  • Premium rate — premium and advanced content, including premium libraries (see Section 10).
  • Fixed per operation — AI-powered features consume a fixed number of AI Compute units per operation, visible before you initiate the operation.

8.2 Rate visibility. The consumption rate tier is always visible before you enter a section or use a feature. You will see an indicator showing the applicable rate so you always know what you are about to spend.

8.3 Consumption tracking. Every unit consumed is logged in your usage ledger with the timestamp, feature used, duration (for time-based consumption), project context, and the number of units deducted. In team Workspaces, the Workspace Owner can view consumption by team member.

8.4 Rate changes. We may adjust consumption rates from time to time to reflect changes in underlying costs or feature value. Rate changes will be announced at least 14 days in advance and will not affect units already consumed. Current rates are always published in each Cluster’s usage documentation.

Critical clause

9. No Monetary Value

This section is fundamental to the nature of the service. Please read it carefully.

9.1 Project Units are exclusively a metering mechanism for service delivery. They do not constitute, and must not be interpreted as:

  • Electronic money or e-money as defined by Directive 2009/110/EC
  • Stored value or prepaid monetary instruments
  • Gift cards, vouchers, or equivalent monetary instruments
  • Currency, virtual currency, or cryptocurrency of any kind
  • A deposit of funds held on behalf of the Customer

9.2 Units cannot under any circumstance be:

  • Exchanged for cash or any other form of payment
  • Transferred between users, accounts, or Workspaces outside the internal team allocation feature described in Section 7.7
  • Transferred between Clusters or between regions
  • Sold, bartered, or traded to third parties
  • Redeemed for goods or services outside the Platform
  • Used as collateral, security, or guarantee

9.3 Any attempt to use, advertise, or represent units as having monetary value outside the Platform, or any attempt to create a secondary market for units, is a material breach of these Terms and grounds for immediate account termination.

10. Premium Libraries & Downloadable Products

10.1 Premium Libraries. Certain content on the Platform (such as complete project courses, advanced workshops, or in-depth technical guides) is designated as a Premium Library. To access a Premium Library, you must pay a one-time unlock fee in Project Units. Once unlocked, the library remains permanently accessible on your account within the relevant Cluster. After unlocking, you consume Platform Access Time at the applicable premium rate while using the library content.

10.2 Downloadable Products. Certain digital products (such as templates, documents, resource packs, and project files) may be purchased using Project Units. Upon purchase, the product is delivered to you digitally and is yours to keep permanently. The unit cost of each downloadable product is displayed before purchase.

10.3 Unlock and download permanence. Premium Library unlocks and downloadable product purchases are tied to your account on the specific Cluster where the transaction occurred. They do not transfer between Clusters or regions. They remain accessible for the duration of your account, regardless of your remaining Project Unit balance.

10.4 No refund for unlocks and downloads. Because Premium Library unlocks provide immediate, permanent access and downloadable products are delivered instantly, these transactions are not eligible for refund once completed.

11. Pricing, Payment & Taxes

11.1 Pricing. Prices for Usage Packs are displayed on the relevant Cluster’s pricing page in Euros (EUR). All prices are exclusive of applicable taxes unless stated otherwise.

11.2 Payment processing. Payments are processed through the following providers on behalf of Em.Skoulikaris LLC:

  • Stripe, Inc. — for business-to-business (B2B) transactions. By making a purchase via Stripe, you also agree to Stripe’s Terms of Service as they apply to payment processing.
  • Lemon Squeezy LLC — acting as Merchant of Record for consumer (B2C) transactions. When Lemon Squeezy processes your payment, Lemon Squeezy is the seller of record and handles VAT calculation, collection, and remittance. By making a purchase via Lemon Squeezy, you also agree to Lemon Squeezy’s Terms of Service as they apply.

The applicable payment provider will be identified during checkout. For enterprise B2B customers, we may offer invoicing via bank transfer as an alternative payment method.

11.3 VAT and taxes.

  • B2B transactions via Stripe: If you provide a valid EU VAT identification number, the reverse charge mechanism applies. You are responsible for self-assessing and remitting VAT to your local tax authority in accordance with Council Directive 2006/112/EC. Your VAT number will be validated through the VIES system.
  • B2C transactions via Lemon Squeezy: The Merchant of Record calculates and collects VAT automatically based on your location, in accordance with the EU VAT e-commerce rules (One-Stop Shop). The price you see at checkout includes applicable VAT.
  • Non-EU customers: Purchases may not be subject to EU VAT. You are responsible for any local taxes applicable in your jurisdiction.

11.4 Invoices. An invoice or payment receipt is generated for every purchase and sent to the billing email address on file. Invoices are also accessible through your Cluster’s billing page.

12. Refunds & Cancellation

12.1 Digital content waiver. Because Project Units are activated immediately upon payment confirmation, you acknowledge and agree that you are requesting immediate performance of the service. In accordance with EU Directive 2011/83/EU, Article 16(m), you expressly consent to the immediate delivery of the digital service and acknowledge that you thereby waive your right of withdrawal once the Project Units are activated.

12.2 Refund eligibility. Due to the nature of immediately-delivered digital services, refunds are generally not available for activated Usage Packs. However, we may grant refunds at our discretion in the following circumstances:

  • A technical error caused duplicate charges
  • A verifiable platform malfunction prevented you from using the service, and the issue could not be resolved within a reasonable timeframe
  • You were charged an incorrect amount due to a pricing display error on our part

12.3 Refund process. To request a refund, contact billing@logbookos.com within 14 days of the purchase date, providing your order reference and a description of the issue. We will respond within 5 business days.

12.4 Refund method. Approved refunds are issued to the original payment method. Refunds are processed in the currency of the original transaction. Exchange rate differences are not compensated.

13. Delivery of Digital Services

13.1 All products and services offered by LogbookOS are exclusively digital. There are no physical products, shipments, or deliveries.

13.2 Delivery method. Upon successful payment confirmation from the payment processor or Merchant of Record, Project Units are activated automatically in your Usage Account within the relevant Cluster.

13.3 Delivery time. Activation typically occurs within seconds of payment confirmation. In exceptional circumstances (such as payment processor delays or scheduled maintenance), activation may take up to 24 hours.

13.4 Delivery issues. If your Project Units have not been activated within 24 hours of a confirmed payment, contact billing@logbookos.com with your payment confirmation. We will investigate and resolve the issue promptly, including manual activation if necessary.

13.5 No shipping costs. As all services are delivered digitally, there are no shipping, delivery, or handling fees. The only charges are the Usage Pack price and any applicable taxes.

14. Acceptable Use

14.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms. For the full Acceptable Use Policy, see logbookos.com/acceptable-use.

14.2 You must not:

  • Use the Platform to violate any applicable law or regulation
  • Attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems
  • Reverse-engineer, decompile, or disassemble any Platform component
  • Use automated tools (bots, scrapers, crawlers) to access the Platform without our prior written consent
  • Resell, sublicense, or provide third-party access to the Platform except through the Workspace team features
  • Use AI features to generate content that is illegal, harmful, deceptive, or infringes third-party rights
  • Circumvent usage metering, quota limits, or any access controls
  • Attempt to trade, sell, or create a secondary market for Project Units

14.3 Violation of these rules may result in immediate suspension or termination of your account, forfeiture of remaining Project Units, and, where applicable, legal action.

15. Intellectual Property

15.1 Our IP. The Platform, including its software, design, architecture, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of Em.Skoulikaris LLC. These Terms do not grant you any ownership rights in the Platform. Your purchase of a Usage Pack grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform services for the duration and scope of your Project Unit balance.

15.2 Your Content. You retain full ownership of all Content you upload, create, or store on the Platform. By using the Platform, you grant us a limited licence to host, process, and display your Content solely for the purpose of providing and improving the services you requested. We will not use your Content for any other purpose without your explicit consent.

15.3 AI-generated output. Content produced by the Platform’s AI features based on your inputs belongs to you, subject to applicable intellectual property laws in your jurisdiction. We make no claim of ownership over AI-generated output. However, we do not guarantee that AI-generated output is unique, original, or free from third-party IP claims.

15.4 Feedback. If you provide suggestions, ideas, or feedback about the Platform, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback to improve our services without any obligation to you.

16. AI-Powered Features

16.1 Nature of AI tools. The Platform includes AI-powered features designed to assist with productivity, education, and project management tasks. These tools are provided as aids and do not replace professional judgement, legal advice, financial advice, or any other professional service.

16.2 No guarantees. AI-generated output may contain errors, inaccuracies, or biases. You are solely responsible for reviewing, validating, and deciding whether to rely on AI-generated output. We disclaim all liability for decisions made based on AI output.

16.3 Third-party AI providers. Some AI features may utilise third-party AI models or APIs. Your use of such features is also subject to the applicable third-party terms. We will identify which providers are used in the relevant Cluster documentation.

16.4 AI usage metering. AI operations consume Project Units from your AI Compute pool. The rate of consumption varies by operation type, model used, and input/output volume. The unit cost of each AI operation is displayed before you initiate it.

17. Data Protection & Privacy

17.1 We process personal data in accordance with Regulation (EU) 2016/679 (General Data Protection Regulation — GDPR) and applicable data protection laws. Full details are provided in our Privacy Policy.

17.2 Data processing roles. When we process your account information (name, email, billing details) for providing the service, we act as data controller. When we process Content that you upload or create on the Platform on your behalf, we act as data processor.

17.3 Data Processing Agreement (DPA). For B2B customers who require a formal DPA under Article 28 GDPR, a DPA is available at logbookos.com/dpa.

17.4 Cluster data isolation. Your data in one Cluster is fully isolated from other Clusters. Data is not shared, merged, or accessible across Clusters.

17.5 Sub-processors. We use third-party sub-processors (including hosting providers, payment processors, and AI service providers) to deliver the service. A current list of sub-processors is available in our Privacy Policy and DPA.

18. Service Availability & Modifications

18.1 Availability. We strive to maintain high Platform availability but do not guarantee uninterrupted service. The Platform may be temporarily unavailable due to scheduled maintenance, emergency maintenance, or circumstances beyond our control.

18.2 Scheduled maintenance. We will provide reasonable advance notice (typically 48 hours) for planned maintenance that may cause service disruption, via email notification or in-platform announcement.

18.3 Service modifications. We reserve the right to modify, update, or discontinue any feature of the Platform at any time. If a modification materially reduces the functionality you purchased access to, we will provide at least 30 days’ notice before the change takes effect. In such cases, you may request a pro-rata restoration of Project Units for the affected portion of your Usage Pack.

18.4 Cluster discontinuation. If we decide to permanently discontinue a Cluster, we will provide at least 90 days’ notice and offer either a pro-rata refund for unused Project Units or migration to a comparable Cluster (if available), at our discretion.

19. Limitation of Liability

19.1 Service provided “as is”. The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

19.2 Liability cap. To the maximum extent permitted by law, the total aggregate liability of Em.Skoulikaris LLC arising out of or in connection with these Terms or your use of the Platform shall not exceed the total amount you have paid to us in the 12 months immediately preceding the event giving rise to the claim.

19.3 Exclusion of consequential damages. To the maximum extent permitted by law, Em.Skoulikaris LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or business interruption, however caused and regardless of theory of liability.

19.4 AI output. We are not liable for any loss, damage, or claim arising from reliance on AI-generated output. AI features are productivity tools, not professional advisory services.

19.5 Mandatory consumer rights. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, death, or personal injury caused by negligence, or any mandatory consumer protection rights under EU or national law.

20. Indemnification

20.1 You agree to indemnify, defend, and hold harmless Em.Skoulikaris LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Platform in violation of these Terms
  • Your Content or any data you process through the Platform
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights

20.2 This indemnification obligation applies to the extent permitted by applicable law and does not apply where the claim results from our own gross negligence or wilful misconduct.

21. Termination

21.1 Termination by you. You may close your account at any time by contacting support@logbookos.com. Upon account closure, any remaining Project Units are forfeited and are not refundable, unless otherwise required by applicable law.

21.2 Termination by us. We may suspend or terminate your account at any time if:

  • You breach these Terms or any Service Appendix
  • You engage in fraudulent, abusive, or illegal activity
  • Your use of the Platform poses a security risk to us or other users
  • We are required to do so by law or regulatory order
  • Your account has been inactive for more than 24 consecutive months

21.3 Notice. Except in cases of material breach, fraud, or security risk (where immediate action may be necessary), we will provide at least 14 days’ written notice before terminating your account.

21.4 Effect of termination. Upon termination:

  • Your access to the Platform is revoked
  • Any remaining Project Units are forfeited
  • Your Content will be available for export for 30 days after termination, after which it may be permanently deleted
  • Premium Library unlocks and downloaded products remain accessible during the 30-day export period
  • Sections of these Terms that by their nature should survive termination (including Sections 9, 15, 19, 20, and 22) will continue to apply

21.5 Data export. Before or within 30 days after account closure, you may request an export of your Content by contacting support@logbookos.com. We will provide your data in a standard, machine-readable format.

22. Governing Law & Dispute Resolution

22.1 Governing law. These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

22.2 Informal resolution. Before initiating any formal dispute proceeding, you agree to first contact us at legal@logbookos.com and attempt to resolve the dispute informally for a period of at least 30 days.

22.3 Jurisdiction. If informal resolution is not successful, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be submitted to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, USA.

22.4 EU consumer rights reservation. If you are a consumer located in the European Union, nothing in this Section prevents you from bringing proceedings in the courts of the EU Member State in which you are domiciled, in accordance with mandatory provisions of Regulation (EU) No 1215/2012 (Brussels I bis). 22.5 Limitation period. Any claim arising under these Terms must be brought within one (1) year after the cause of action accrues, except where a longer period is required by mandatory applicable law.

23. General Provisions

23.1 Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy, Cookie Policy, and any applicable Service Appendix, constitute the entire agreement between you and Em.Skoulikaris LLC regarding the Platform. They supersede all prior agreements, representations, and understandings.

23.2 Amendments. We may amend these Terms at any time. For material changes, we will provide at least 30 days’ notice via email to your registered address and/or a prominent notice on the Platform. Continued use of the Platform after the effective date of the amendment constitutes acceptance of the updated Terms. If you do not agree, you may terminate your account in accordance with Section 21.1.

23.3 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

23.4 No waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

23.5 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity, provided that the assignee agrees to be bound by these Terms.

23.6 Force majeure. We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet or power outages, or third-party service failures.

23.7 Notices. Notices to you will be sent to the email address associated with your account. Notices to us should be sent to legal@logbookos.com or by mail to: Em.Skoulikaris LLC, 75 E 3rd St, Sheridan, WY 82801, USA.

23.8 Language. These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any inconsistency.
